Terms & Conditions of Sale

Nocrai Studio is a product line of Nocrai, a practice of HamptonTCI Limited, a company incorporated in Hong Kong (registered address: Mezzanine Floor, Sun House, 90 Connaught Road Central, Sheung Wan, Hong Kong) (“HamptonTCI”, “we”, “us”, “our”).

Your purchase is processed by Lemon Squeezy as Merchant of Record (see section 3). Your rights and obligations in relation to the product itself — the licence, the files, and everything else in these terms — are between you and HamptonTCI Limited.

By purchasing a Nocrai Studio product or using studio.nocrai.com, you agree to be bound by these terms. If you do not agree, do not purchase or use the site. If you are purchasing on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.

Each Nocrai Studio product is a one-time purchase. There is no subscription, no recurring charge, and no account to maintain. A purchase includes:

• A licence key — issued by email immediately after payment, locked to the email address used at purchase
• File generation — the ability to enter your details on the product page, unlock with your key, and download your generated files
• Your files — the generated files themselves, which are yours to keep and use as set out in section 5
• Regeneration — you may return and regenerate your files with your licence key if you need to update your details or lost your download, for as long as the generation service operates (see section 11)

What is not included: design services, custom work, hosting of any kind, professional advice of any kind, or any human-delivered service. Nocrai Studio is a self-serve digital tool.

The current products and prices are as stated on studio.nocrai.com at the time of purchase.

Payment is processed by Lemon Squeezy, acting as Merchant of Record. Your payment transaction is with Lemon Squeezy, and by completing a purchase you also agree to Lemon Squeezy’s terms of service and privacy policy. We do not receive or store your payment card details.

All prices are in US Dollars (USD) unless otherwise stated at checkout and are exclusive of applicable taxes. VAT, GST, or sales tax will be calculated and added at checkout where applicable. You bear any currency conversion costs and bank fees where your payment currency differs from USD.

Your licence key is issued once payment is confirmed by Lemon Squeezy.

General policy: Nocrai Studio products are digital content delivered immediately. A purchase is non-refundable once your licence key has been issued and file generation is available to you.

If something has genuinely gone wrong — your key does not work, your files fail to generate, or the product does not do what the product page says — contact support@nocrai.com and we will put it right.

Nothing in these terms excludes or limits any statutory rights you may have under applicable consumer protection legislation in your jurisdiction.

The generated files are yours. Upon generation, you own the files produced for you — they contain your name, your details, and your content. You may:

• Keep them forever, on any device, in as many copies as you like
• Use them anywhere — print them, share them, embed them, attach them, host them
• Use them in the ordinary commercial life of your business without restriction, attribution, or further payment
• Continue using them even if Nocrai Studio changes, retires the product, or ceases to operate

Ownership of your files does not depend on the continued availability of studio.nocrai.com. Nothing we do after your purchase can take your files away from you — we do not even hold copies of them (see our Privacy Policy).

The one boundary: ownership of your generated files does not include the right to turn them back into a product. See section 6.

HamptonTCI Limited retains full and exclusive ownership of the Nocrai Studio tools themselves: the generators, software, templates, layouts, visual designs, and the studio.nocrai.com website (collectively “Studio IP”). Nothing in these terms transfers any ownership of Studio IP to you.

A purchase covers one business. You may not, whether directly or through any third party:

• Resell or redistribute the tool — sell, sublicense, or give away access to any Studio generator, or offer file generation to others as a service using your purchase
• Productise the templates — strip your content out of the generated files and resell or redistribute the blank design or template as a product
• White-label — rebrand any Studio tool or template as your own product or service
• Use one purchase for many businesses — generate files for multiple businesses or clients from a single purchase; each business needs its own purchase

To be clear about the line: giving your own finished card to your customers, contacts, and anyone else is exactly what the product is for. Selling or giving away the means of making cards is not included in your purchase.

• Your licence key is locked to the email address used at purchase and only works together with that email address
• Your key is for you (or the entity named on your order) only — you may not share, sell, transfer, or publish it
• Keep your key safe: it is how you regenerate your files. If you lose it, contact support@nocrai.com from your purchase email
• Every file generation is verified against Lemon Squeezy’s records. Keys that are refunded, disputed, or revoked stop working
• We may revoke a key without refund where it has been shared, published, obtained fraudulently, or used in breach of these terms. Files you generated before revocation remain yours under section 5

The product pages let you enter your details and see a live watermarked preview free of charge, before deciding whether to buy. The preview is provided “as is”, for evaluation only. You may not attempt to extract, reproduce, or pass off the watermarked preview as a finished product, or circumvent the purchase step to obtain final files.

Nothing you enter in the preview is sent to us or stored by us — see our Privacy Policy.

The files are generated from the details you enter. You are solely responsible for that content, and you warrant that:

• The details you enter are yours to use — you will not create files impersonating another person or business
• Your content does not infringe any third party’s rights, including trade marks and copyright
• Your content is lawful and will not be used for fraud, phishing, spam, or any deceptive practice
• You have checked your details before generating — the files say exactly what you typed

We do not review, moderate, or approve the content of generated files, and we accept no responsibility for it.

You may not, nor may you permit any other person to, use studio.nocrai.com or any Studio tool in any manner that:

• Violates any law or regulation
• Attempts unauthorised access by probing, scanning, or testing the vulnerability of any Nocrai system
• Circumvents or attempts to circumvent licence verification, payment, or any access control
• Interferes with the service by overloading infrastructure or launching denial-of-service attacks
• Transmits harmful code including viruses, malware, ransomware, or spyware
• Reverse engineers, decompiles, or disassembles any Nocrai software beyond what applicable law permits notwithstanding this restriction
• Harvests or scrapes data using automated means without our express written permission
• Misrepresents affiliation with or endorsement by Nocrai or HamptonTCI

Violation of this section or section 6 is a material breach of these terms and may result in revocation of your licence key without refund, and, where appropriate, legal remedies and reporting of unlawful activity to relevant authorities. Report violations to support@nocrai.com.

We may update, improve, or reconfigure any Studio tool at any time. We do not warrant uninterrupted or error-free access to studio.nocrai.com, though we use reasonable endeavours to keep it available.

What availability affects — and what it doesn’t: the generation service (unlocking and regenerating files) depends on studio.nocrai.com operating. Your ownership and use of files you have already generated does not — those are on your device and remain yours regardless (section 5).

Discontinuation: if we permanently discontinue a product, we will give not less than 60 calendar days’ notice on studio.nocrai.com, during which you can regenerate and save your files.

We are not in breach of these terms where any failure arises from circumstances beyond our reasonable control, including cyberattacks, third-party platform outages, internet infrastructure failure, acts of government, or natural events.

Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by applicable law. Nothing in these terms excludes or limits any statutory rights you may have under applicable consumer protection legislation.

You agree to indemnify, defend, and hold harmless HamptonTCI and its directors, employees, and agents from any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Your breach of these terms
• The content you enter and the files generated from it, including any third-party claim of infringement, impersonation, or unlawful use
• Any prohibited use under sections 6 or 10
• Any violation of applicable law in connection with your use of a Studio product

This indemnity survives completion of your purchase.

We process personal data in accordance with the Nocrai Studio Privacy Policy, which is incorporated into these terms by reference. In short: the details you enter to build your files are processed transiently to generate them and are never stored by us; the personal data we hold about you is limited to your purchase record (held with Lemon Squeezy) and any support correspondence.

HamptonTCI does not sell to any person or entity that is: (a) the subject of sanctions imposed by the United Nations, the European Union, the United Kingdom, the United States, Hong Kong, or any other applicable jurisdiction; or (b) located or resident in a sanctioned territory.

By purchasing, you warrant that you are not a sanctioned person or entity and are not located in a sanctioned territory. HamptonTCI may revoke your licence key immediately and without refund if it determines, at any time, that this warranty was or has become untrue. This right survives completion of any purchase.

These terms are governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws principles.

Disputes: the parties will first attempt to resolve any dispute by good faith negotiation for not less than 21 calendar days from written notice of the dispute. If unresolved, either party may refer the dispute to the courts of Hong Kong, which shall have exclusive jurisdiction.

HamptonTCI may amend these terms from time to time by posting the updated terms on this page. Amendments apply to purchases made after their effective date. Your rights in files generated under earlier terms — including your ownership of them under section 5 — are not reduced by any amendment.

• Entire agreement: these terms, together with the Privacy Policy incorporated by reference, constitute the entire agreement between you and HamptonTCI regarding Nocrai Studio products and supersede all prior discussions and agreements
• Severability: if any provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain in full force
• No waiver: failure to enforce any provision on any occasion is not a waiver of that right on any future occasion
• Relationship: nothing in these terms creates a partnership, joint venture, agency, or employment relationship. HamptonTCI is an independent provider of self-serve digital tools
• Assignment: you may not assign your rights under these terms without our prior written consent, except that your ownership of generated files under section 5 transfers freely with your business. HamptonTCI may assign its rights to any affiliate or successor entity
• Notices: formal notices under these terms must be sent by email to support@nocrai.com (for HamptonTCI) or to your purchase email address (for you). Legal process must be served at our registered address: Mezzanine Floor, Sun House, 90 Connaught Road Central, Sheung Wan, Hong Kong
• Survival: sections 5 (your files), 6 (our tools), 9 (your content), 12 (liability), 13 (indemnity), 15 (sanctions), 16 (governing law), and any other provision intended by its nature to survive, shall survive completion of your purchase
